# Terms Of Service

## DEFINITIONS

**Topmarket**, **we**, **us**, or **our** means HYPER COLLECTIBLES LIMITED, with its registered office at Room D07, 8/F, Phase 2, Kaiser Estate, 99 King Fuk Street, San Po Kong, Hong Kong.

**Websites** means the websites operated by Topmarket, including top.market, whether accessed through a desktop browser, a mobile browser, or an embedded web view.

**App** means the Topmarket native mobile applications for iOS and Android.

**Platform** means the Websites and the App collectively. References to the Platform include the relevant access channel; they do not mean that every feature is available through every channel.

**Collectibles** means genuine physical trading cards and other eligible physical collectible items made available through the Services.

**Digital Reveal Products**, also called **Packs** in the Platform, means products purchased through Topmarket for which the particular physical Collectible allocated to the purchaser is determined and revealed through the allocation process described in these Terms.

**Vault Service** means the storage, inventory management, and related custody services provided by Topmarket or its authorized storage providers for eligible Collectibles held on behalf of users.

**Services** means the features made available through the Platform, including Digital Reveal Products, Collectible purchases and sales, offers, auctions, storage, shipping, account management, supported payments, and rewards.

**USDC** means the USDC cryptocurrency supported for payments and transfers through the networks identified in the Platform. The current primary settlement asset is native USDC on Base Mainnet, as identified in Payments and Account Balances below. It is separate from Topmarket rewards points.

**CP** means consumption points and **GP** means growth points recorded under Topmarket's rewards program.

**Additional Terms** means feature-specific, transaction-specific, or campaign-specific terms that we make available in connection with the relevant Service and expressly incorporate into this agreement, subject to the safeguards below.

**Business Day** means a day other than a Saturday, Sunday, or public holiday in Hong Kong.

**FMV** means a good-faith estimate of a Collectible's fair market value at the time stated. FMV is not the Pack price or a guaranteed resale price.

**Pack Launch Card Value** means the value assigned by Topmarket to an eligible Collectible when the relevant Pack is launched and recorded for purposes of calculating the initial buyback offer. It is not a guarantee of the Collectible's later market or resale value.

**Material Discrepancy** means a verified difference between the Collectible identified as allocated to you and the physical Collectible assigned, stored, or delivered to you that would reasonably affect its identity, authenticity, grade, edition, language, serial number, or value. Minor display, formatting, or metadata errors that do not change the identity or material attributes of the allocated Collectible are not Material Discrepancies.

**Order** means a request to purchase a Pack or Collectible that Topmarket has accepted. A payment authorization, pending blockchain transaction, loading screen, or order-submission message does not by itself mean that Topmarket has accepted or completed an Order.

**You** or **your** means the person using the Platform or Services. **Terms** means these Terms of Service together with applicable Additional Terms.

## GENERAL INFORMATION

These Terms govern your use of the Platform and Services and form an agreement between you and Topmarket. By accepting these Terms when creating an account or completing a purchase, you agree to be bound by them. If you do not agree, do not create an account or complete a transaction.

Topmarket operates the Platform and provides the Services. Topmarket is responsible for its own product sales, accepted buyback offers, and storage and fulfillment obligations under these Terms. Marketplace sales between users are governed by the Marketplace section below.

Our Privacy Policy explains how we handle personal information. Product information, fees, shipping conditions, and transaction-specific rules disclosed before confirmation also apply to the relevant transaction. Those rules cannot exclude mandatory consumer rights.

Certain public content can be viewed without signing in. Account-based transactions and records require authentication. Availability depends on your location, access channel, device, account eligibility, the relevant Collectible, and the feature actually offered.

We may update or discontinue a feature for operational, security, or legal reasons. Changes do not remove our obligations concerning purchases already completed, Collectibles held on your behalf, or amounts properly payable to you, subject to applicable law.

The Platform is intended for personal use as a collectibles service. Collectibles, USDC, Packs, prices, valuations, and buyback offers may involve financial, legal, tax, and regulatory risks. They are not deposits, savings products, or investments offered by Topmarket. You remain responsible for obtaining advice appropriate to your circumstances.

Electronic records, confirmations, notices, and disclosures provided through the Platform or by email may satisfy writing requirements to the extent permitted by law. You must keep your email address and other contact information current. Transaction confirmations, legal notices, and security messages are service communications and are not marketing messages.

## PLATFORM SCOPE AND ADDITIONAL TERMS

These Terms apply to the Websites and the App under one agreement. A mobile browser remains a way of accessing the Websites; it is not the native App. App-specific provisions apply when you use the App, and browser-specific provisions apply when you use the relevant web flow.

The available login methods, payment methods, search tools, rewards, custody submissions, delivery controls, and account-management interfaces may differ between the Websites, iOS App, and Android App. A feature available through one channel is not necessarily available through another. A reference in these Terms, a historical record, or a preview does not by itself mean that a feature is open for use.

Where you access the same Topmarket account through more than one channel, these Terms apply to that account and its associated transactions. Differences in interface or feature availability do not, by themselves, change ownership of your Collectibles, extinguish amounts due to you, or require you to repurchase an existing asset.

Additional Terms may address a particular Pack, marketplace transaction, auction, custody arrangement, delivery option, rewards program, or promotion. We will identify and make the applicable terms available before you enter the relevant transaction or activity and obtain any acceptance required by law. Additional Terms take precedence only for the specific subject they expressly address. They do not override mandatory consumer rights, authorize undisclosed wallet transactions, or replace any separate consent required for personal-information processing.

## THE SERVICES

The Services enable users to purchase, collect, store, trade, and request delivery of physical Collectibles. The Platform displays the Collectibles associated with your account and records the transactions and storage or delivery instructions relating to them.

### Digital Reveal Products

Digital Reveal Products enable you to purchase products offered by Topmarket and receive physical Collectibles associated with those purchases. The total purchase price displayed before confirmation, including disclosed mandatory purchase fees, constitutes the sole consideration payable for the product, rights, and benefits associated with the purchase. Optional services requested separately, such as physical delivery, may carry additional fees disclosed before you order them.

You purchase a Digital Reveal Product at the purchase price disclosed before confirmation. Any displayed reference market value or fair market value (FMV) for a Collectible is an estimate for information only, may change over time, and is distinct from the Pack purchase price. It is not a guaranteed resale or buyback price, or a promise that the Collectible you receive will have a value equal to the Pack purchase price. You are not charged a separate fee or other consideration for participating in, or for the operation of, the chance-based, randomized, or variable allocation mechanism used to determine which qualifying Collectible you receive.

The eligible Collectibles and applicable probabilities or allocation information will be disclosed before purchase. The allocation process determines the particular Collectible you receive. Subject to the eligibility requirements and product terms, every qualifying user who completes a purchase will receive a Collectible associated with that purchase.

The particular Collectible received may differ between purchasers. No additional payment is required for the possibility of receiving a particular Collectible, and no separate purchase of a chance, entry, or draw is required.

#### Images, descriptions, and Collectible identity

Card images displayed in connection with a Pack are rendered images. They are not photographs or scans of the exact physical card allocated to you. Screen settings and image processing may not accurately show color, foil, texture, centering, surface, edges, corners, or other physical characteristics.

The product page will identify the attributes used to define the eligible Collectibles for the Pack. These may include the card subject, manufacturer, set, year, card number, parallel or variation, language, grade, grading company, certification number, autograph or relic designation, and serial number. An attribute is promised only when the relevant product page or allocation record identifies it for the particular Collectible.

Each graded card is associated with its own PSA certification number. The corresponding PSA holder label identifies the card's language, grade, version or variation, and other available certification information. Subject to verification of authenticity and correction of a PSA record, the physical PSA label and PSA certification record control those attributes if a rendered image or Platform metadata conflicts with them.

Reveal animations, sequences, sounds, and visual effects are for presentation. They do not determine or change the Collectible allocated through the applicable allocation process.

#### Probability and inventory rules

Before you confirm a purchase, the Pack page will disclose the probability information and eligible inventory applicable to that purchase, or provide a directly accessible explanation of how those probabilities are calculated. Probabilities may change for future purchases as eligible inventory changes.

The probability information displayed immediately before confirmation applies to an Order when Topmarket accepts payment and the Order. Later inventory or probability changes do not retroactively change an accepted Order. If payment or acceptance does not complete, a later attempt is a new transaction and the then-current information applies.

Removing, adding, reserving, or correcting inventory may affect future purchases. It must not replace a Collectible already validly allocated to you except to correct a verified duplicate, impossible, or erroneous allocation under the rules below.

#### Allocation records and errors

Topmarket records the Pack, applicable inventory and probability version, allocation result, time, and Collectible identifier for each completed reveal. The account record is evidence of the allocation, but it may be corrected when a verified technical, inventory, or mapping error occurred.

We may correct a typographical, metadata, labeling, image, or display error that does not change the identity or material attributes of your allocated Collectible. A minor correction does not, by itself, entitle you to a replacement or refund.

If a system or inventory error caused a duplicate, impossible, or incorrect allocation, or if the physical Collectible assigned to you has a Material Discrepancy, we may pause the affected feature and investigate. Depending on the facts and applicable law, we will take one or more of the following actions:

* correct the allocation or related records without reducing your rights;
* deliver the correctly allocated Collectible if reasonably available;
* offer a materially equivalent replacement, subject to your agreement where required;
* cancel the affected Order and refund the amount paid for it; or
* provide another remedy required by applicable law.

If supporting inventory becomes unavailable after Topmarket accepted an Order but before allocation, we will not substitute an undisclosed lower-value category. We will complete the Order using eligible inventory consistent with the disclosed Pack terms or cancel the affected Order and provide the applicable refund.

Report a suspected Material Discrepancy or allocation error to <info@top.market>. Include the Order reference, allocation record, photographs where relevant, and a description of the issue. We will confirm receipt and tell you what additional information and estimated review time are required. Contacting support does not limit any non-waivable legal right.

Ownership of the allocated physical Collectible passes to you immediately when the reveal has completed and the Collectible has been allocated to your account. You may accept an available buyback offer as described below. If you do not choose buyback, you may request physical shipment immediately, subject to the Delivery Policy, or leave the Collectible in storage under the Vault Service for later delivery or an authorized sale. While in storage, the Collectible remains yours unless ownership is transferred through a completed sale or another authorized disposition under these Terms.

We may suspend or discontinue a Digital Reveal Product when its supporting inventory is exhausted or for other reasonable operational or legal reasons. We remain responsible for successfully completed purchases, including any remedy required if fulfillment becomes impossible.

Consumer withdrawal rights may apply depending on the transaction and the law applicable to you. Where required, we will obtain your separate express consent to immediate performance of a digital element and your acknowledgment of any resulting loss of a statutory withdrawal right before performance begins. Digital revelation does not, by itself, extinguish mandatory rights relating to the allocated physical Collectible. See Consumer Right of Withdrawal below.

### Topmarket Offers

Where available, HYPER COLLECTIBLES LIMITED, operating as Topmarket, may offer to purchase an eligible Collectible from you after it has been revealed. HYPER COLLECTIBLES LIMITED is the buyer under such an offer. The Platform may describe this option as a buyback, recycle, or sell-back offer.

Each offer identifies the Collectible, the amount payable, any applicable fees, and the acceptance period. If you accept a valid offer and the buyback sale is completed, ownership of the physical Collectible transfers back to HYPER COLLECTIBLES LIMITED and the proceeds are payable to you in USDC. The Platform distinguishes proceeds received at your on-chain wallet address from amounts requiring a further on-chain claim or settlement step. A pending proceeds record is not confirmation that USDC has reached your wallet. Transaction confirmation is described in Payments and Account Balances below.

The initial buyback amount for a card allocated from a Pack is 90% of that card's Pack Launch Card Value. The Pack Launch Card Value is set when the relevant Pack is launched and is recorded separately from later market prices. The applicable value, 90% calculation, and resulting buyback amount will be shown in the offer before acceptance. Unless the offer expressly states otherwise, a later change in FMV does not recalculate that initial buyback amount.

Accepting an offer is a subsequent sale of the allocated Collectible. It does not require a further payment for participation in the original allocation process.

If you do not accept before an offer expires, that offer is no longer available and the Collectible remains yours unless you otherwise dispose of it. Buyback availability, future offers, and any relationship between an offer and a displayed valuation are not guaranteed. A displayed quote is subject to its stated conditions; an accepted and completed sale remains subject to applicable law and correction of a verified error.

An offer becomes binding on Topmarket when the Platform records your valid acceptance before expiry, subject only to any conditions disclosed with that offer and the correction of a manifest error. A processing delay after valid acceptance does not cause the offer to expire or permit us to apply a later, lower quote solely because the price or FMV changed.

After valid acceptance, the Platform may show the sale as accepted, verifying, settling, claimable, completed, or failed. These statuses have different meanings:

* **Accepted** means the Platform recorded your acceptance within the offer period;
* **Verifying** means Topmarket is checking ownership, eligibility, fraud, sanctions, or a suspected error;
* **Settling** or **claimable** means the sale has been approved but the USDC transfer or claim step is not complete;
* **Completed** means ownership transferred to Topmarket and the Platform confirmed the applicable USDC settlement; and
* **Failed** means the sale did not complete and the Platform will state whether the Collectible remains yours or the sale will be reprocessed.

If settlement is delayed or an error affects an accepted offer, contact <info@top.market> with the offer and transaction references. We will investigate and either complete the agreed settlement, restore the Collectible and related rights to your account, or provide another remedy required by applicable law. We will not retain both the Collectible and the unpaid purchase price unless a lawful hold applies.

A manifest error is an obvious and material pricing, identity, ownership, or system error that a reasonable person would not understand as the intended offer. Before reversing or correcting an accepted offer for manifest error, we will explain the error and restore the parties, as far as reasonably possible, to the positions they held before the affected transaction. Ordinary market movement, a later change in our pricing model, or dissatisfaction with an agreed price is not by itself a manifest error.

### Vault Service

Topmarket provides the Vault Service for eligible Collectibles allocated to users through the Services. We or our authorized storage providers hold these Collectibles on your behalf while they remain in storage.

We use commercially reasonable and industry-standard security measures to protect stored Collectibles. These measures may include secure facilities, physical access controls, monitoring, restricted personnel access, and inventory management procedures.

We may engage affiliates, warehouse operators, logistics providers, and fulfillment partners to store, manage, package, and ship Collectibles on our behalf.

Collectibles are held at your risk only to the extent permitted by applicable law and subject to our obligations under these Terms. Any exclusion for events beyond our reasonable control does not excuse a breach of a duty that cannot lawfully be excluded.

You may request delivery of an eligible Collectible through the available shipping procedures. A shipping request does not itself end our responsibility for a Collectible still held in storage. Delivery is governed by the Delivery Policy below.

The Vault Service for Collectibles already held on your behalf is separate from submitting a new card from outside Topmarket. New card submissions are not currently open through the App. Availability through any other channel depends on an expressly offered submission service and its applicable terms. Do not send a card without an accepted submission and official shipping instructions. A channel may display existing custody records without accepting new submissions.

#### Vault identification and inventory controls

We maintain records intended to link each stored Collectible to its account owner and relevant identifiers. For graded cards, this normally includes the grading company and certification number. For eligible raw cards or other Collectibles, we may use photographs, product attributes, internal inventory identifiers, tamper-evident packaging, or other appropriate records.

We may conduct counts, inspections, reconciliations, and security reviews. These controls do not transfer ownership to Topmarket or permit us to use your Collectible for our own account. We will not lend, pledge, or create a security interest over your Collectible unless you separately and expressly agree to a service that lawfully permits it.

#### Loss and damage

If we discover that a stored Collectible may be lost, stolen, damaged, destroyed, counterfeit, materially misidentified, or unavailable, we may temporarily restrict transfer, sale, buyback, or delivery while we investigate. We will notify the affected owner when reasonably possible and provide material updates during a prolonged investigation.

Where a verified loss or damage occurred while Topmarket or its storage provider was responsible for the Collectible, we will provide the remedy required by these Terms and applicable law. Depending on availability, the user's preference where legally required, and the nature of the loss, a remedy may include:

* locating and delivering the original Collectible;
* repair or reholdering where appropriate and agreed;
* a materially equivalent replacement agreed with the user; or
* monetary compensation based on the legally applicable measure of loss.

Any valuation used for compensation will consider the Collectible's identity, authenticated grade or condition, serial number or scarcity where relevant, and reasonably available market evidence near the time the loss was established. A prior displayed FMV is evidence, but is not automatically the exclusive measure of loss. Compensation does not include speculative future appreciation except where applicable law requires it.

#### Suspension or closure of the Vault Service

If we plan to discontinue the Vault Service, we will give reasonable advance notice where practicable and provide instructions for shipment, transfer to an available successor custodian, sale through an available Service, or another lawful disposition chosen by the owner. Fees and deadlines will be disclosed with those instructions.

If Topmarket becomes insolvent, ceases business, or loses access to a storage provider, we will use reasonable efforts, subject to applicable insolvency law and court orders, to identify and segregate user-owned Collectibles and facilitate their return or transfer. Nothing in these Terms guarantees treatment outside mandatory insolvency law.

Failure to respond to a closure notice does not automatically transfer ownership of a Collectible to Topmarket. We may continue reasonable storage, apply previously disclosed lawful charges, or use an unclaimed-property process where applicable. We will not treat an inactive account alone as abandonment.

### Marketplace and Offers Between Users

Eligible users may list, purchase, sell, and make or accept offers for Collectibles held through the Services. A transaction identifies the relevant Collectible and the seller. Topmarket provides the marketplace and related administration; a user selling a Collectible is responsible for that user's obligations as seller.

Before confirming a transaction, review the Collectible, certification details, seller, price, fees, and total amount. A listing price, reference valuation, buyer's offer, and final sale price are separate amounts.

A listing or unaccepted offer does not itself transfer ownership. When a sale is successfully settled and the Collectible is allocated to the buyer's account, the seller transfers ownership of the Collectible to the buyer. The Vault Service then holds the Collectible on the buyer's behalf.

Offers are subject to the amount, funding requirements, acceptance conditions, expiry, and withdrawal rules disclosed when the offer is made. Any payment reservation and release conditions will apply as shown in the transaction flow.

Completed transactions are subject to mandatory consumer rights, applicable seller obligations, and remedies for verified errors or misconduct. Your rights may differ depending on whether the seller is a business or a private individual. Nothing in these Terms removes Topmarket's own legal responsibilities for the Services it provides.

#### Seller obligations

By listing or accepting an offer, a seller represents that the seller owns the Collectible, has authority to sell it, and has not granted an undisclosed lien or conflicting right. The seller must ensure that the listing accurately identifies the Collectible and must not conceal a known authenticity, ownership, condition, grading, or certification issue.

A seller may change or remove a listing before a buyer completes a purchase, unless the listing is subject to an accepted offer, active auction, or other disclosed restriction. Once a sale is binding, the seller may not withdraw the Collectible merely because its market value changed.

Because eligible marketplace Collectibles are held in the Vault, we may restrict a listed Collectible from delivery or conflicting transfer while the listing, accepted offer, sale, or dispute remains active. This administrative restriction does not transfer ownership before the sale settles.

#### Buyer payment and settlement

Before purchase, the Platform will state the accepted payment method and whether it will request a card authorization, place a temporary hold, reserve USDC, or require an immediate transfer. A reservation or authorization is not a completed payment or transfer of ownership.

If the buyer's payment fails before settlement, we may retry only with authorization, request another supported payment method, or cancel the sale. We will release a Topmarket-controlled reservation when the transaction is cancelled or no longer requires it. A bank, card network, wallet, or blockchain may take additional time to display the release.

If a seller cannot transfer good title or the identified Collectible is unavailable or materially misdescribed, we may cancel the sale, return or release the buyer's payment, restrict the seller, and provide any additional remedy required by law. The seller remains responsible for obligations and losses that applicable law or the applicable transaction rules place on the seller.

Marketplace fees, taxes, settlement asset, and the amount payable to the seller will be disclosed before the relevant confirmation. Sale proceeds may remain pending while payment, ownership, fraud, sanctions, or dispute checks are completed. Pending proceeds are not available USDC until the applicable settlement or claim process completes.

#### Auctions

An eligible seller or other authorized custodian listing a Collectible for auction (the **Auction Lister**) configures the starting price, closing time, minimum bid increment, and other parameters shown in the auction-creation flow. The Auction Lister may cancel the entire auction through the available control only while no valid bid has been successfully recorded on-chain. Once the first valid bid is recorded on-chain, the Auction Lister cannot cancel or withdraw the auction.

The minimum amount that may be submitted is the current bid plus the configured minimum bid increment. Before the first bid, the starting price is treated as the current bid for this calculation. The Platform will reject an attempted bid below the minimum amount shown in the bidding interface.

Submitting a bid requires the bidder to authorize the transaction with a wallet signature. Once the bid is successfully recorded on-chain, it is final and cannot be cancelled or withdrawn. The bid amount is locked when the bid is placed. When a later valid on-chain bid exceeds it, the previously locked bid amount is returned through the applicable on-chain process. This return is not a cancellation penalty or a refund of a completed purchase.

If a new valid bid is recorded during the final ten minutes before the scheduled closing time, the countdown automatically extends by ten minutes. Further qualifying bids during the final ten minutes of an extended period trigger another ten-minute extension, up to a maximum of thirty extensions. After the thirtieth extension, no further extension occurs and the auction ends when the then-current countdown reaches zero.

When the countdown reaches zero, the highest valid on-chain bid wins and the auction enters settlement. Because the winning funds are already locked, the auction does not use a separate post-auction non-payment or bidder-default process. Ownership changes after the applicable on-chain settlement and allocation to the winning bidder complete.

If no bid was successfully recorded on-chain before the auction ends, the auction is unsuccessful and the asset returns to the Auction Lister. The asset also returns to the Auction Lister when the Auction Lister validly cancels the auction before any valid bid is recorded.

The on-chain bid and timing records control the bidding history and winning result. Page content, countdowns, notifications, and bid-history displays are caches and presentations of that data and may update after a delay. If the page conflicts with the controlling on-chain record, we will reconcile the Platform record to the on-chain record.

We may pause affected interfaces or investigate a verified system error, security incident, or suspected manipulation. This does not permit the Auction Lister to cancel an auction after a valid bid has been recorded. Any technical correction or legally required action must account for the controlling on-chain state and restore or settle locked funds and the auction asset as required by applicable law and the auction protocol.

## ELIGIBILITY AND ACCOUNT USE

You must be at least eighteen years old, or the age of majority in your jurisdiction if higher, and legally capable of entering into these Terms.

The Services are not available in every jurisdiction and are not offered to users located in Mainland China. Availability of purchasing, payments, transfers, and shipping may differ. You must comply with applicable geographic restrictions and sanctions requirements.

Laws concerning randomized product allocation, collectibles, digital assets, auctions, consumer rights, payments, and taxes differ by location. We may restrict a Service, payment method, Pack, buyback, transfer, or delivery in a jurisdiction where legal or provider requirements make it unavailable. A user must not use a virtual private network, false address, or other method to evade an eligibility or geographic restriction.

Topmarket does not characterize every feature identically in every jurisdiction. A statement that a Pack always allocates a physical Collectible does not determine its legal classification. We may request location or eligibility evidence before permitting a transaction.

You must provide accurate account information and keep it current. You must not impersonate another person, share account access without authorization, or use multiple accounts to evade limits or eligibility requirements.

The Platform may support email verification codes, Google Sign-In, supported wallet authentication, and Sign in with Apple in the iOS App. Use the methods actually offered through your access channel. A method available in the iOS App is not necessarily offered on the Websites or in the Android App. Wallet connection may use a browser extension, a mobile wallet app, or an embedded-wallet flow, depending on the channel.

You are responsible for protecting your device, email, login sessions, connected wallets, and recovery methods. We will never ask you to send a wallet private key or seed phrase. Report suspected unauthorized access promptly to <info@top.market>.

## PAYMENTS AND ACCOUNT BALANCES

### Embedded Wallets and Asset Control

Topmarket uses Privy's embedded-wallet infrastructure to provide users with their own on-chain wallet addresses. Topmarket does not receive or store users' complete wallet private keys. Wallet access and signing use Privy's authentication and key-management infrastructure and the authorizations applicable to the wallet.

Topmarket's backend does not currently have a Privy session signer or delegated signer configured. The backend cannot independently authorize new wallet signatures or operate your embedded wallet offline solely by using the configuration and keys held by Topmarket's servers.

In Topmarket's browser-session-based embedded-wallet flow, you initiate a transaction through your authenticated front-end session and confirm the action in Topmarket's transaction confirmation dialog. The front end then requests the corresponding embedded-wallet signature through Privy. Privy's separate native wallet confirmation prompt is disabled for this flow, so you will not be asked to confirm the same action again in a second Privy wallet dialog. The absence of that second dialog does not mean that backend delegated signing is enabled or that no transaction authorization is required.

Review the action, amount, fees, and any recipient or contract-approval information presented before confirming. Your confirmation authorizes the corresponding transaction or transactions described in that confirmation, not unrelated future transactions. Accepting these Terms or merely remaining signed in does not itself grant Topmarket unrestricted authority to transact from your wallet. Protect your authenticated session and report an unrecognized transaction promptly through the Platform or at <info@top.market>.

USDC deposited into your wallet is held on-chain at your wallet address, not pooled by Topmarket in a shared account in exchange for an internal balance. Using the embedded wallet does not itself transfer ownership of that USDC to Topmarket. Wallet balances and transfers can be checked through a blockchain explorer. Topmarket maintains account and transaction records to display and administer the Services; those records do not replace the underlying on-chain assets.

Purchases, sales, bids, claims, and transfers may involve token approvals and smart-contract transactions. An authorized payment or other transaction may move USDC from your wallet to a recipient or contract. Amounts committed to a transaction, awaiting settlement, or claimable from a contract are distinct from USDC currently available at your wallet address. The wallet model does not mean that funds involved in a transaction remain in the original wallet throughout that transaction. The Vault Service concerns custody of physical Collectibles, not custody of wallet private keys.

The browser-session flow above describes the relevant web implementation; it does not mean that every native App or external-wallet flow has the same confirmation interface. Follow the confirmation steps presented in the channel and wallet you actually use. A channel difference does not give Topmarket blanket authority to initiate unrelated wallet transactions.

### Supported Network and Settlement Asset

The Platform currently uses Base Mainnet (chain ID 8453) as its primary network and native USDC on Base as its settlement asset. The USDC token contract address is:

This address identifies the USDC token contract; it is not your deposit address or a Topmarket marketplace settlement-contract address. Use your wallet's receiving address and the supported network shown in the Platform when depositing funds. Do not assume that another token with the same name, a bridged token, or USDC on another network is supported.

USDC is a cryptocurrency; a dollar symbol in the interface does not turn the transaction into a fiat-dollar bank payment. USDC is not CP or GP. A deposit is an incoming on-chain transfer to your wallet. A withdrawal or transfer through the supported flow sends USDC to the specified receiving address; it is not, by itself, a fiat conversion, bank payout, or cross-chain bridge.

Before transferring funds, verify the supported asset, network, amount, and destination address. Transfers to an incorrect address or through an unsupported network may be irreversible or unrecoverable. Network processing and confirmation can delay availability of funds.

### On-Chain Settlement and Platform Confirmation

Purchases and sales through the platform are settled on-chain by the relevant smart contracts. Privy provides wallet infrastructure; the use of Privy does not replace the applicable on-chain settlement process.

For deposits, purchases, sales, and withdrawals, the Platform treats a transaction as completed only after the on-chain transaction has executed successfully, Topmarket's blockchain monitoring service has read the relevant contract events, and the associated business record has been updated to a completed status, such as "confirmed". Merely receiving a transaction hash, copying a deposit address, or submitting a transaction does not establish completion.

The current Base monitoring process waits until the transaction's block is at least two blocks behind the observed chain head before processing its events. This operational confirmation buffer reduces exposure to short-lived chain reorganizations. It is not a guarantee of protocol-level finality or that a transaction can never be reorganized. Network, monitoring, or processing delays may cause the Platform's status to lag behind on-chain activity.

If on-chain activity and a Platform record appear inconsistent, contact support with the transaction reference. We will reconcile the relevant chain events and business records; a delayed Platform update does not by itself undo a successful on-chain transfer or remove an obligation arising from it. Do not repeat a payment solely because a Platform status remains pending.

Available wallet balances, amounts committed to transactions, pending proceeds, Collectible valuations, and rewards points are displayed separately. A displayed collection value or pending proceeds amount is not an amount already available in your wallet for transfer.

### Fees, Service Restrictions, and Network Risks

Fees and the total amount payable must be disclosed before you authorize the relevant transaction. You are responsible for disclosed platform, network, shipping, customs, tax, and other applicable charges. We will notify you of material changes to fees before they apply to future transactions.

We may restrict access to a Platform feature or pause transaction processing within our control while reviewing a security issue, payment failure, legal restriction, or suspected misuse. Such a restriction does not itself transfer ownership of your wallet assets to Topmarket or mean that we can freeze or reverse any transaction on the blockchain. Any action affecting funds or Collectibles must remain within our actual technical authority and applicable law and must respect your rights.

Privy, third-party wallets, and other infrastructure providers have their own applicable terms. USDC may change in value relative to fiat currency. Smart-contract faults, network disruptions, authentication failures, and provider or token-issuer restrictions may affect access, transfers, or settlement. Topmarket does not guarantee a particular exchange value or uninterrupted transfer availability. These risks do not remove our own obligations under these Terms or applicable law.

### Optional Third Party Payment Services

Topmarket is currently integrating payment services that may be provided by Unicross and Coinflow. A provider or payment method is not available for use merely because it is named in these Terms. It becomes available only when the applicable checkout identifies the provider, supported method, charges, and conditions and permits you to authorize the transaction.

Availability on the Websites does not mean that the same method is available in the App. A provider's payment or conversion step is separate from the on-chain settlement and order-confirmation steps described above; an initial payment authorization is not confirmation that a purchase or deposit has completed. The provider's terms do not remove Topmarket's own obligations for the transaction.

Where checkout states that your card payment purchases USDC, the identified provider supplies the USDC under its applicable terms. The later use of that USDC to purchase a Pack is a separate product transaction with Topmarket, even when the interface presents the steps in one checkout flow. Before you confirm, the interface must disclose the relevant amounts, fees, and recipient or use of the USDC.

Where checkout instead states that your card directly purchases a Pack or Collectible from Topmarket, the card charge is payment for that product rather than a general USDC purchase. Topmarket will not describe one structure as the other. The transaction record and checkout disclosure determine which structure applies.

#### Card payment roles and transaction stages

The checkout page will identify what you are purchasing, the currency or asset charged, the merchant or seller where required, and the payment processor. A payment processor provides payment services; it does not become responsible for allocating, storing, or delivering a Collectible unless the checkout expressly states otherwise.

Completion of one stage does not prove completion of every later stage. A pending card entry may be an authorization hold rather than a captured payment. If an authorization is released, the issuing bank controls when the pending entry disappears. If payment was captured but the Order did not complete, we will investigate and provide fulfillment, release, refund, or another remedy as required.

We will not intentionally charge a card again after a failed attempt without a new authorization or a retry authorized in the original checkout. You should not repeat a pending payment until the transaction status is clear, because a new attempt may create another authorization or Order.

#### Refunds and payment disputes

Before initiating a bank or card-network dispute, contact us where practicable so that we can investigate. This request does not waive your right to contact your issuer, payment provider, regulator, or other competent body.

If a chargeback or payment dispute is filed, we may provide transaction records to the payment provider and temporarily restrict the disputed transaction or associated proceeds while the dispute is decided. We will not treat the filing of a good-faith dispute as automatic fraud or as automatic forfeiture of unrelated Collectibles or funds.

You may not obtain duplicate recovery for the same loss. If both Topmarket and a payment provider refund the same transaction, we may reverse the duplicate platform credit, request repayment, or set off the duplicated amount where permitted by law. We will provide the relevant records and an opportunity to challenge an error.

#### Taxes and currency conversion

Prices may exclude shipping, customs duties, import taxes, sales taxes, value-added taxes, network fees, card charges, or currency-conversion charges unless the checkout states otherwise. Amounts charged by your bank, wallet, blockchain network, or payment provider may not be controlled by Topmarket.

You are responsible for taxes legally imposed on you. Topmarket will collect, withhold, report, or remit taxes when required. We may request information reasonably needed for tax compliance. Nothing in the Platform is tax advice.

## REWARDS AND MEMBERSHIP

CP and GP are separate rewards records. Their earning rules, eligibility, available uses, and any disclosed expiration or inactivity adjustments are described in the Platform. They do not represent your USDC balance and cannot be withdrawn as cash, sold, or transferred through the Services.

Membership levels, progress, and multipliers are subject to the applicable program rules. Only benefits expressly available for your account may be used. A benefit marked as forthcoming does not create a present entitlement to that benefit.

We may correct points or benefits affected by fraud, duplicate-account abuse, a system error, or a breach of the applicable rules. Material program changes will be communicated as required by law and must respect rights that cannot lawfully be withdrawn.

## FEATURE SPECIFIC PROGRAMS AND PROMOTIONS

A referral, free-card campaign, giveaway, raffle, prize draw, or similar promotion is available only when expressly offered to eligible users through the relevant channel. Its Additional Terms must identify the sponsor or organizer, eligibility and geographic restrictions, entry or claim conditions, any cost, allocation method or odds where applicable, applicable dates, reward conditions, and any transfer or holding restrictions. A program reference or past activity record does not mean that entry or participation is currently available.

If a program uses invite codes, referral attribution, points, or a holding period, the applicable rules are those disclosed for that program before participation. These Terms do not impose a universal holding period or guarantee a future distribution, cash value, or reward. Changes must respect existing grants and rights under their applicable terms and mandatory law.

An Earn, yield, lending, or borrowing feature, if offered, requires its own applicable Additional Terms and any legally required disclosures and permissions before participation. Such terms must describe the actual service, asset treatment, control and access restrictions, fees, reward or interest methodology, collateral and liquidation rules where applicable, and material risks. Such a feature is not created merely by owning a Collectible, storing it in the Vault, holding USDC, or receiving CP or GP. These general Terms do not promise a return or authorize financial activity in a jurisdiction where it is prohibited.

These programs need not be available through every channel. A web-only feature does not become an App feature because it is described in these unified Terms. Apple and Google do not sponsor or administer Topmarket promotions.

## IDENTITY VERIFICATION AND FRAUD PREVENTION

We may request identity, address, source-of-funds, or other verification where required by law or reasonably necessary to address fraud, account compromise, suspicious transactions, or eligibility concerns.

We may restrict an affected transaction while necessary verification is pending. Information collected for verification is handled in accordance with our Privacy Policy and any applicable verification-provider notice.

You must cooperate with lawful and reasonable verification requests. Restrictions and any resulting account action remain subject to applicable law.

Verification may be required before a high-value purchase, sale, withdrawal or transfer, delivery request, account recovery, or release of a transaction under review. We will identify the requested information, the method for submitting it, and any applicable response period. A verification provider may apply its own privacy notice and technical process.

While verification is pending, we may delay or restrict only the transactions, features, or assets reasonably connected to the verification or legal risk. We may cancel an uncompleted Order if verification is not completed within the stated time and the transaction cannot lawfully proceed.

If verification fails because information is incomplete, expired, unclear, or inconsistent, we may permit resubmission. If the failure is final, we will explain the resulting account restrictions where legally permitted and arrange the lawful handling of uncompleted transactions, stored Collectibles, and amounts due to you.

Failed verification does not by itself transfer ownership of your Collectibles or wallet assets to Topmarket. We will provide a reasonable withdrawal, delivery, refund, or other exit process where legally and technically permitted. We may delay or refuse a transaction where sanctions, anti-money laundering, fraud-prevention, court-order, or other legal requirements prohibit it.

## PROHIBITED CONDUCT

You must not:

* engage in fraud, money laundering, sanctions evasion, or unauthorized use of another person's account;
* manipulate prices, valuations, bids, offers, or transactions, including through wash trading or collusion;
* submit bids, purchases, payment disputes, or refund requests in bad faith;
* exploit vulnerabilities, falsify records, or use unauthorized automation to evade service limits;
* offer counterfeit, stolen, misrepresented, or otherwise unlawfully obtained Collectibles; or
* interfere with security, infringe another person's rights, or use the Services unlawfully.

We may investigate suspected misconduct, preserve relevant evidence, remove affected listings, restrict accounts or transactions, and contact authorities where permitted or required by law. Any recovery, correction, or withholding of property or payments must have a lawful basis.

## CONSUMER RIGHT OF WITHDRAWAL

Consumers may have a statutory right to withdraw from certain purchases without giving a reason. Where European Union consumer withdrawal rules apply, the period is generally fourteen days, with the starting point and exceptions determined by the type of contract and applicable law.

For Digital Reveal Products, ownership of the allocated physical Collectible passes after the reveal and allocation, and Topmarket holds it on your behalf through the Vault Service. Completion of the reveal does not automatically remove a statutory right relating to the physical Collectible.

Before purchase, we will provide the applicable withdrawal information. Where legally required, consent to immediate performance of a digital element and acknowledgment of a resulting loss of a withdrawal right will be obtained separately before that performance begins. Such acknowledgment applies only to the extent permitted by law.

To exercise an applicable withdrawal right, send an unequivocal request to <info@top.market> within the applicable period, identifying the transaction. A statutory model form may also be used where applicable; its use is not a condition where the law permits another clear statement.

If the Collectible has been delivered, follow the return instructions and applicable legal deadlines. You bear direct return costs only where lawfully chargeable and disclosed before purchase. We bear costs where required by law.

Required refunds will be made using the original payment method unless you expressly agree otherwise or applicable law requires another method. We may withhold a refund pending return of goods or evidence of return only to the extent permitted by law.

## REFUNDS AND TRANSACTION ERRORS

This section covers payment errors, non-delivery, technical failures, and other refund requests. It does not limit statutory withdrawal rights, legal guarantees, or remedies for defective or misdescribed goods.

Contact <info@top.market> if you encounter a duplicate charge, incorrect amount, failed allocation after payment, missing Collectible, or another transaction error. Provide the relevant order or transaction reference and supporting details. Never include a private key or seed phrase.

We will investigate and provide any correction, fulfillment, refund, or other remedy required by the transaction and applicable law. A processing delay does not necessarily mean a transaction failed; check the existing record before repeating a purchase or transfer.

Approved refunds will normally use the original payment method and asset unless otherwise agreed or legally required. For a USDC refund, we will verify the appropriate network and receiving details. A completed on-chain transfer being technically irreversible does not remove an obligation to make a separate refund where one is due.

We will communicate the outcome and any expected processing period. Applicable statutory deadlines take precedence over our administrative processes or third-party processing estimates.

### Refund eligibility and process

Dissatisfaction with a disclosed random outcome, a change in market value, or the absence of a future buyback offer is not by itself a transaction error. This does not limit remedies for a Material Discrepancy, counterfeit item, duplicate or incorrect charge, failed allocation, non-delivery, unauthorized transaction, breach of these Terms, or another matter protected by law.

To investigate a refund request, we may ask for the account identifier, Order or transaction reference, date, amount, payment method, description, photographs, and other relevant evidence. Submit a request within any period stated in the applicable product terms or, if none is stated, within a reasonable time after you discovered the issue. Mandatory limitation and notice periods prevail.

We will acknowledge a support request and provide an estimated review time after receiving enough information to identify the transaction. Complex authenticity, inventory, blockchain, payment-provider, or fraud investigations may require more time. We will provide material updates and will not use an internal review period to remove a statutory remedy.

An approved card refund will normally return to the original card where the processor supports it. An approved USDC refund will normally use supported USDC on the network shown in the refund instructions. If the original route is unavailable, we may require identity and ownership checks before agreeing another lawful method.

Refund timing differs from approval timing. Banks, card networks, payment processors, wallet providers, and blockchain networks may need additional processing time after Topmarket initiates a refund. We will provide available confirmation of initiation upon request.

### Unauthorized transactions

Report an unrecognized transaction promptly. We may secure the account, preserve records, restrict affected features, and request evidence needed to determine how the transaction was authorized. Do not share authentication codes, seed phrases, private keys, or remote access to your device.

Responsibility for an unauthorized transaction depends on the payment method, wallet model, facts, and applicable law. Nothing in these Terms removes rights or allocation-of-loss rules that cannot lawfully be waived.

## DELIVERY POLICY

### Allocation and Account Records

After payment and successful completion of a reveal or marketplace settlement, the relevant Collectible and transaction status are recorded in your account. A loading screen, animation, or submission notice is not confirmation that allocation or payment has completed.

If a transaction remains pending or an account record appears incorrect, contact support with the original reference. We will investigate using the relevant payment, allocation, inventory, and account records. You may challenge an incorrect record with supporting evidence.

### Physical Delivery

You may request delivery of an eligible Collectible through the available shipping flow. To arrange shipment, provide complete and accurate recipient and delivery-address information and pay the applicable shipping fees disclosed before confirmation. Review the recipient, address, telephone number, destination, method, fees, and any customs requirements before confirming.

Shipping availability depends on the destination, Collectible status, legal restrictions, and available delivery services. A country appearing in an address form does not, by itself, confirm that a delivery service is available there.

If regional shipping limitations prevent you from completing a delivery request, submit a request through the support function available in the Platform. You may also contact <info@top.market>. Any assistance remains subject to applicable shipping and legal restrictions.

Changes to a Collectible's account status during the delivery process do not destroy the physical Collectible, transfer ownership back to Topmarket, or remove your right to delivery or an applicable remedy.

We normally dispatch a Collectible within four business days after receiving your completed delivery request, complete shipping information, and the applicable shipping payment. This is the usual dispatch timeframe, not a guaranteed delivery date. If we are unable to dispatch within that timeframe, we will contact you about the delay and next steps. You may contact customer support through the Platform or at <info@top.market> for assistance. A delay does not remove any remedy available to you under these Terms or applicable law.

Request submission, fee payment, warehouse processing, dispatch, and delivery are separate stages. Any estimated processing or shipping time is an estimate unless expressly guaranteed. Ownership acquired through allocation does not depend on making a later shipping request.

Risk during delivery is determined by applicable law and any lawful shipping conditions disclosed before the request. We remain responsible for obligations that cannot lawfully be excluded by referring to a carrier or other third party.

Report non-delivery, damage, an incorrect item, or a material delay to support. We will investigate and arrange an appropriate remedy, including replacement or refund where required.

### Inspection and delivery claims

Inspect a delivered package and Collectible promptly. Preserve the packaging, shipping label, photographs, tracking information, grading holder, and other evidence if you report loss, damage, tampering, an incorrect item, or a Material Discrepancy.

Any support deadline disclosed for a delivery claim is intended to help us investigate carriers and warehouse records. It does not shorten a mandatory consumer guarantee or statutory limitation period. If the carrier shows delivery but you did not receive the package, notify us and the carrier promptly so the delivery can be investigated.

We may require return of an incorrect or damaged Collectible before providing a replacement or refund, where lawful and reasonably necessary. We will provide return instructions and bear return costs where the error is attributable to Topmarket or where applicable law requires it. Do not send a Collectible to an address that we have not authorized for the claim.

## COMPLAINTS AND FEEDBACK

Questions, feedback, complaints, and disputes may be submitted through the support function available in the Platform. You may also contact <info@top.market>. For an account or transaction issue, identify the relevant account or transaction and the resolution you seek.

We will consider complaints in good faith and request only information reasonably necessary to investigate. Account, payment, and inventory records may be used as evidence, but may be corrected where an error is established. Nothing in this process prevents you from exercising a statutory remedy or contacting a competent authority.

Topmarket may operate an official Discord community for general discussion and non-sensitive product feedback. Discord is not an authorized channel for account deletion, privacy-rights requests, identity verification, balance or wallet issues, or transaction disputes. Do not post personal, payment, wallet-security, identity-verification, or other sensitive information in a public or community channel.

## ACCOUNT CLOSURE AND TERMINATION

App users may initiate permanent account closure and personal-data deletion through the verified account-deletion process available in the App without being required to send an email. Website users may use any account-deletion control actually offered on the Websites or contact <info@top.market>. The availability of an App control does not imply that an identical Website control exists. Where the same account is used across channels, an account-deletion request concerns that account across the Platform, not merely the device or channel used to submit it. Signing out, uninstalling the App, clearing browser data, or disconnecting a wallet does not delete your account.

Account-deletion requests are reviewed manually. We normally complete an eligible and verified request within five Business Days and will confirm when deletion has been completed. If applicable law or a verified security concern permits or requires additional time, we will explain the reason and provide an updated expected completion date.

We will not approve an account-deletion request while the account contains Collectibles, USDC, another positive balance, or another user-owned asset. Before submitting a deletion request, you must use the available withdrawal, delivery, sale, transfer, or other supported process to remove or resolve those assets. The App will inform you if an asset or unresolved transaction prevents deletion. If you believe the account record is incorrect or you cannot use an available exit process, contact <info@top.market>.

We may also need to verify your identity and resolve outstanding bids, offers, transactions, delivery requests, payment disputes, or legally required holds. If we reject a request for one of these reasons, we will identify the category of the blocking matter where legally permitted. You may submit a new request after the matter is resolved. Submitting or rejecting a deletion request does not waive or transfer your ownership of an asset.

We may suspend or terminate access where reasonably necessary to address a material breach, fraud, a security incident, legal restrictions, or discontinuation of the Services.

Where circumstances permit, we will state the reason for a suspension or termination and provide a way to request review. We may act without advance notice when immediate action is reasonably necessary to protect users, Collectibles, payment systems, the Platform, or legal compliance. We will not disclose information that law, security, or another person's rights require us to withhold.

During suspension, you remain responsible for lawful obligations arising from completed transactions. We will not require you to enter a new purchase merely to retrieve a Collectible or amount that remains yours. Access to a wallet or third-party service may also depend on that provider's independent authentication, legal, and recovery process.

Closure or suspension does not by itself forfeit your ownership of Collectibles or amounts lawfully due to you. Remaining property and obligations must be handled consistently with these Terms and applicable law. We will confirm through an authorized channel when account deletion has been completed. Personal-information handling is described in our Privacy Policy.

## USER CONTENT

If a feature permits you to submit profile information, images, listings, feedback, or other content, you retain any rights you have in that content. You grant Topmarket a non-exclusive license to host, process, reproduce, and display it as reasonably necessary to operate the feature and provide the Services, including through service providers acting on our behalf. This does not grant us an unrestricted right to use your identity or private content for unrelated advertising.

You must have the necessary rights to submit content and must not upload unlawful, misleading, infringing, or abusive material. We may remove or restrict content that violates these Terms or applicable law. Personal-information handling, retention, and deletion remain subject to our Privacy Policy and applicable law. A reference to user content does not mean that every channel offers public posting or messaging.

## INTELLECTUAL PROPERTY AND THIRD PARTY SERVICES

Topmarket or its licensors own the Platform, software, design, branding, and content supplied through the Services. You receive a limited, personal, non-exclusive right to use the Services in accordance with these Terms and any applicable app-store license.

You must not copy, commercially exploit, or reverse engineer protected material except as permitted by applicable law or an applicable license. Rights in a physical Collectible do not transfer the publisher's copyright, trademarks, or other intellectual property.

References to card publishers and grading companies identify products and certification information. They do not imply sponsorship or endorsement unless expressly stated. Report alleged infringement to <info@top.market> with sufficient details to identify the work and disputed material.

External authentication, wallet, payment, grading, and delivery services may have their own terms and privacy notices. Our use of a provider does not exclude responsibilities that applicable law places on Topmarket.

Apple and Google are not parties to these service Terms. Your App license is subject to the applicable store terms; Apple's standard end user license agreement applies where no valid custom agreement is supplied. These App licensing provisions apply to the App, not to ordinary browsing of the Websites. Neither store's distribution of the App constitutes sponsorship of a product or transaction.

For an App obtained through Apple's App Store, the license is limited to use on Apple-branded products that you own or control, as permitted by the App Store usage rules and applicable family-sharing or volume-purchasing rules. Topmarket, not Apple, is responsible for the App and its content, maintenance, support, product claims, and claims that the App infringes third-party intellectual property, to the extent allocated by applicable law. Apple has no obligation to provide maintenance or support for the App.

If the iOS App fails to conform to an applicable warranty, you may notify Apple and Apple may refund the App's purchase price, if any, to the extent required by the App Store terms. To the maximum extent permitted by law, Apple has no other warranty obligation for the App. Apple and its subsidiaries are third-party beneficiaries of this paragraph and may enforce it upon your acceptance of these Terms.

## NO WARRANTIES AND LIMITATION OF LIABILITY

Collectibles are offered as collectible products. Reference values, historical prices, and estimated returns are informational and do not guarantee resale value, liquidity, a future buyback offer, or profit. Nothing in the Services constitutes investment, financial, legal, or tax advice.

To the extent permitted by law, the Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access, compatibility with every device, or error-free performance of independent networks or providers. These qualifications do not remove our express obligations to supply purchased Collectibles, provide agreed custody, or honor applicable consumer remedies.

To the maximum extent permitted by law, we exclude liability for indirect or consequential losses, including lost profit or business opportunity. Subject to the exceptions below, our aggregate liability relating to the Services will not exceed the greater of the amounts you paid directly to Topmarket during the preceding twelve months or USD 100.

These limits do not exclude obligations to return property belonging to you or pay amounts properly due to you. They do not apply to liability that cannot lawfully be excluded or limited, including applicable consumer rights, fraud, or other conduct for which a limitation is prohibited.

Nothing in this section limits a remedy expressly provided in the Digital Reveal Products, Vault Service, Topmarket Offers, Marketplace, Refunds, or Delivery sections. The exclusions and cap apply only to the extent enforceable in the user's jurisdiction.

## SERVICE INTERRUPTION AND EVENTS OUTSIDE REASONABLE CONTROL

The Platform may be interrupted by maintenance, cyber incidents, network or blockchain failures, provider outages, carrier disruptions, natural disasters, government action, labor disruption, or other events outside our reasonable control. We may pause affected Services to protect users, assets, records, or legal compliance.

An event outside our reasonable control excuses a delay only to the extent that the event caused the delay and applicable law permits the excuse. We will use reasonable efforts to reduce the effect, resume affected Services, and notify users when the interruption materially affects an accepted Order, stored Collectible, payment, sale, or delivery.

This section does not transfer ownership of your Collectibles or wallet assets, permit Topmarket to retain an unpaid sale price, or remove a refund or termination right that applicable law requires when performance cannot resume within the required time.

## DISPUTES AND MANDATORY RIGHTS

Please contact us first so that we can attempt to resolve a dispute. This request does not prevent urgent proceedings, suspend statutory rights, or require you to allow a legal filing deadline to expire.

An unresolved dispute may be brought before a court or other dispute-resolution body with jurisdiction under applicable law. Nothing in these Terms removes a mandatory right to bring proceedings or obtain protection in your home jurisdiction where that right applies.

These Terms and any non-contractual obligations arising from them are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws rules. This choice does not deprive a consumer of mandatory protections that apply under the law of the consumer's habitual residence.

Subject to any mandatory right to use another court or dispute-resolution body, the courts of Hong Kong have non-exclusive jurisdiction over disputes arising from these Terms or the Services. The parties may agree in writing to use mediation or another dispute-resolution process after a dispute arises.

## CHANGES AND OTHER TERMS

We may revise these Terms. Material changes will be communicated through the Platform, email, or another appropriate method before they take effect where required by law. We will obtain fresh acceptance where legally required.

Changes apply prospectively from their stated effective date. They do not retroactively change the price, allocated Collectible, accepted buyback price, ownership, or other material terms of a completed transaction, except where the parties agree or a correction or change is required by law.

If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a right does not waive it. We may transfer this agreement in connection with a lawful business transfer, subject to applicable law and without reducing mandatory rights. You may not transfer your account agreement without our consent; this does not prevent authorized sales of Collectibles through the Services.

These Terms and incorporated Additional Terms form the agreement for the Services they cover. They do not replace separate written agreements expressly identified as remaining in force. If provisions conflict, the more specific Additional Terms control only for the subject and transaction they address, followed by these Terms, subject always to mandatory law.

Sections concerning ownership, payment obligations, refunds, stored Collectibles, intellectual property, liability, disputes, records, and any provisions that by their nature must continue will survive account closure or termination.

Headings assist reading and do not change meaning. The words "including" and "such as" introduce examples and do not limit the preceding words. A reference to writing includes an electronic record where law permits. Singular terms include the plural when context requires.

Translations may be provided for convenience. The English version governs inconsistencies to the extent permitted by law, without limiting protections associated with a required local-language version.

## NOTICES AND TRANSACTION RECORDS

We may send notices to the email address associated with your account, through an in-product message, or by another method you have authorized. A legal notice is effective as determined by applicable law. You are responsible for keeping contact information current, but a failure to update it does not permit us to ignore another reliable contact method where law requires notice.

Platform, payment, blockchain, inventory, warehouse, and communication records may be used to establish a transaction or investigate a dispute. These records are not conclusive where they contain an error or conflict with stronger evidence. You may request correction of an inaccurate account or inventory record through <info@top.market>.

You should retain confirmations, receipts, transaction hashes, allocation details, certification information, and shipping records. We may provide an export or copy of available transaction records where required by law or supported by the Platform.
